Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of RitePlaz (the "Service"), a unified commerce and fulfillment gateway product owned and operated by Ugoh Solutions LLC ("Ugoh Solutions," "we," "us," or "our"), a company based in Holtsville, New York. By creating an account, connecting a store, or otherwise using the Service, you ("you" or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
RitePlaz lets merchants connect sales channels (including Shopify and Etsy) and print-on-demand or fulfillment providers (including Printify, Printful, Gelato, Gooten, and Prodigi) to a single dashboard, so orders placed on a connected sales channel can be routed to a connected fulfillment provider automatically, alongside catalog sync, order tracking, sync logs, and account/billing reporting.
Every channel and fulfillment provider is accessed through the Service's own adapter layer; RitePlaz is an intermediary and is not the seller, manufacturer, or shipper of any product ordered through a connected channel.
2. Accounts and eligibility
You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs on a store connected to your account, including activity performed by team members you invite. You must be at least 18 years old and able to form a binding contract to use the Service.
3. Subscription plans, billing, and trials
RitePlaz is offered on subscription tiers (currently Free, Starter, Silver, and Premium), each with different limits on the number of connected stores and fulfillment providers. New accounts may start on a time-limited free trial; unless cancelled before the trial ends, the account converts to a paid tier and is billed automatically.
Subscription fees are billed in advance on a monthly or yearly basis through our payment processor, Stripe, and are non-refundable except where required by law. You authorize us and Stripe to charge your payment method on file for all fees due. Failure to pay may result in suspension or downgrade of the Service. You may change or cancel your subscription at any time from the Billing page; cancellation takes effect at the end of the current billing period.
4. Third-party sales channels and fulfillment providers
Connecting a sales channel or fulfillment provider requires you to authenticate directly with that third party (for example via OAuth or an API key) and is subject to that third party's own terms of service. We are not responsible for the availability, accuracy, pricing, product quality, shipping times, or acts or omissions of any third-party channel or fulfillment provider. Orders, inventory, and fulfillment data displayed in RitePlaz reflect information received from those third parties via API or webhook and may be delayed or incomplete due to factors outside our control.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any connected third party's terms;
- Attempt to reverse engineer, probe, or disrupt the Service's infrastructure, including its webhook endpoints or APIs;
- Use the Service to process fraudulent orders or payments;
- Share your account credentials with unauthorized parties; or
- Exceed reasonable API usage in a way that degrades the Service for other customers.
6. Reports, exports, and shared links
The Service lets you generate Sales and Billing reports, export them as CSV or PDF, and create shareable snapshot links. Anyone with a shared link can view the frozen report data it contains — even without a RitePlaz account — until the link expires. You are solely responsible for deciding what to export or share and with whom.
7. Data ownership
You retain ownership of your store, product, order, and customer data. We use that data only to operate and improve the Service and as described in our Privacy Policy. You are responsible for having the necessary rights and permissions to connect your store data to the Service.
8. Termination
You may deactivate your account at any time from your profile settings. We may suspend or terminate access to the Service if you violate these Terms, fail to pay applicable fees, or if required to do so by law or by a connected third party's policies. Upon termination, your right to use the Service ends immediately; certain provisions of these Terms survive termination, including Sections 4, 7, 9, and 10.
9. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGOH SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR ORDERS, ARISING FROM YOUR USE OF THE SERVICE OR ANY CONNECTED THIRD-PARTY CHANNEL OR FULFILLMENT PROVIDER. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
